Job description

As Corporate and Commercial Legal Counsel, you will report to the Head of M&A Legal and Head of Legal Global Division Industry and work closely with Corporate Development and the M&A team across a broad legal spectrum. You drive issues mainly in company law, corporate governance, stock market law and M&A. You also handle commercial agreements and legal operations including AI and legal IT systems. You also support the company with ongoing legal matters, disputes and internal transactions. Location is at AFRY's head office in Solna with the possibility of some remote work depending on needs and agreement. 

You will mainly work with: 

  • Company law, stock market law & corporate governance: Manage subsidiary structure, annual general meeting, policies, insider issues and ongoing advice.

  • M&A: Be responsible for legal aspects of acquisitions, divestments, mergers and due diligence. Negotiate transaction documents and support integration.


You will also manage:

  • Commercial contracts and disputes: Review and negotiate supplier, customer and partner agreements. Manage disputes and provide ongoing support to the division.

  • Legal operations & systems: Develop ways of working, contribute to AI initiatives and be responsible for IT systems (DocuSign, Legisway, Legora).

  • Compliance: Monitor new legislation, implement requirements and update policies.

Qualifications

We would like the applicant to have:

  • A law degree 
  • 3-5 years of experience working in reputable law firm in transactions or listed international company.
  • Experience of working with mergers and acquisitions, commercial contracts,  general corporate law and stock market law.
  • Very good knowledge of Swedish and English, both spoken and written. 

As a person, you are structured, determined and confident in your communication. You are used to handling several parallel tasks and thrive in an international environment where cooperation is crucial. We see it as a merit if you, in addition to a law degree, have an economic education and / or experience of working in finance.
